TERMS & CONDITIONS

1. ACCEPTANCE OF TERMS

By creating an account, accessing the dashboard, or sending any notification through the Notify platform, you agree to be bound by these Terms and Conditions and our Privacy Notice. If you are registering on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

The Notify platform is a prototype. Access is provided for demonstration and evaluation purposes, and portions of the service may be revised or discontinued without notice.

2. ELIGIBILITY

You must be at least 18 years old and acting for a legitimate business purpose to use the Services. Notify is intended for licensed shipping and logistics companies operating in Ghana. We may require corporate registration documentation as part of the onboarding review before a workspace is activated.

3. YOUR ACCOUNT AND WORKSPACE

You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

• Account security: Do not share passwords. Notify supports email-and-password authentication only; social logins are not offered.
• Workspace invite codes: Workspace invite codes are unique to your company. Regenerating a code invalidates the previous one. Share codes only with individuals you intend to grant access to.
• Access revocation: Administrators may revoke member access at any time. Notify reserves the right to suspend accounts that violate these terms.

4. USE OF THE SERVICES

Notify enables you to upload customer manifests and send WhatsApp notifications through the Meta WhatsApp Business API. When using the platform you agree to:

• Only upload manifests for customers who have consented to receive automated WhatsApp notifications.
• Use approved message templates that comply with Meta's WhatsApp Business messaging policy.
• Honour opt-out requests immediately. Replying with STOP, UNSUBSCRIBE, CANCEL, or OPT-OUT must permanently suppress future notifications to that number.
• Not use the platform to send unsolicited, misleading, or unlawful communications.

5. TOKENS, PLANS AND BILLING

New companies receive a one-time grant of 75 tokens upon approval of their application. This grant is intended for evaluation and expires after 15 days.

• Token consumption: Each WhatsApp notification consumes tokens. When your balance reaches zero, queued and scheduled sends are blocked until you top up or upgrade.
• Plans: Monthly plans include an allotment of tokens. Upgrades within a billing cycle are prorated and charged immediately; downgrades take effect at the next renewal.
• Payments: Subscription fees and top-ups are processed through an integrated payment gateway supporting card and mobile money (MTN MoMo, Telecel Cash, AT Money).
• Refunds: Fees for completed billing cycles are non-refundable except where required by law.

6. CUSTOMER DATA AND CONSENT

You act as the Data Controller for the customer manifests you upload; Synthx OS acts as a Data Processor. You warrant that you hold all necessary consent and legal grounds to process customer data and to send automated notifications on their behalf.

Manifest files and parsing tables are automatically purged from server storage 7 days after upload. Package verification photos are deleted 7 days after delivery status is marked complete.

7. INTELLECTUAL PROPERTY

The Notify platform, including its software, dashboards, templates, documentation, and branding, is owned by Synthx OS and is protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable right to use the Services for your business operations.

8. ACCEPTABLE USE AND PROHIBITIONS

You may not, directly or indirectly:

• Reverse engineer, decompile, or attempt to extract the source code of the platform.
• Use the Services to send spam, malware, or content that is unlawful, defamatory, or infringing.
• Attempt to access another tenant's data or otherwise breach multi-tenant isolation.
• Sell, resell, or sublicense access to the Services.

9. DISCLAIMER OF WARRANTIES

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Synthx OS disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that message delivery rates will meet any particular threshold.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Synthx OS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Services. Our aggregate liability for any claim shall not exceed the amounts you paid to us in the 3 months preceding the claim.

11. TERMINATION

You may delete your workspace at any time. Deletion is scheduled immediately but the workspace is permanently removed only after a 7-day grace period, during which you may cancel the deletion. We may suspend or terminate your access if you breach these terms or if continued use would violate applicable law.

12. CHANGES TO THESE TERMS

We may update these Terms and Conditions from time to time. Material changes will be reflected by a new Last updated date and, where practical, notified through dashboard banners or email. Continued use of the Services after changes take effect constitutes acceptance of the revised terms.

13. GOVERNING LAW

These Terms and Conditions are governed by the laws of the Republic of Ghana. Any disputes arising in connection with the Services shall be subject to the exclusive jurisdiction of the courts of Ghana.
